D AVID KEMP, BANKERS MANAGEMENT, INC. provided a full day of education with his presenta- tion on The Evolving Role of the Bank Director. His opening remarks covered a broad spectrum including updates in technology and fee income trends. With charisma and numerous true stories, David explained what a member of the board should be aware of in the areas of loan structure, established procedures and best prac- tices. With considerable focus on regulatory enforcement actions, he outlined the responsibility of a director and the importance of appropriate professional relationships among directors and bank management. On the foundation of this relationship, Kemp explained, “Management and the board must be on the same page for the bank to succeed.” He also gave examples of summary data that are helpful in decision-making but we often see thick packets with too much information and data sets that aren’t beneficial. Following a detailed discussion on the obligation of the board to properly grade the CEO and what measures should be considered in doing so, the day came to a close with an overview of the importance of confidentiality.
